GBN Services LLC provides technology and IT services including but not limited to computer systems design, IT consulting, software engineering, cloud computing and DevOps solutions, cybersecurity services, and technical support. Specific service offerings, deliverables, timelines, and pricing are defined in separate service agreements, statements of work, or proposals mutually executed between GBN Services LLC and the client. The descriptions of services on our website are for general informational purposes and do not constitute a binding offer to perform services.
3. User Obligations
When using our website and services, you agree to provide accurate and complete information in all communications and forms, maintain the confidentiality of any account credentials or access tokens provided to you, use our services only for lawful purposes and in compliance with all applicable federal, state, and local laws, not to attempt unauthorized access to our systems, networks, or client data, not to transmit malicious code, viruses, or other harmful content through our platforms, and to promptly notify GBN Services LLC of any security concerns or unauthorized use of your account or our services. You acknowledge that violations of these obligations may result in immediate termination of services and potential legal action.
4. Intellectual Property
All content on this website, including text, graphics, logos, images, software, and the compilation thereof, is the property of GBN Services LLC or its content suppliers and is protected by United States and international copyright laws. Any custom software, configurations, documentation, or other deliverables created by GBN Services LLC for clients are subject to the intellectual property provisions specified in the applicable service agreement. Unless otherwise stated in a written agreement, GBN Services LLC retains all right, title, and interest in any pre-existing intellectual property, tools, frameworks, or methodologies used in the delivery of services.
5. Payment and Billing
Payment terms for services are defined in the applicable service agreement or statement of work. Unless otherwise specified, invoices are due within thirty (30) days of issuance. Late payments may accrue interest at the rate of one and one-half percent (1.5%) per month or the maximum rate permitted by Utah law, whichever is less. GBN Services LLC reserves the right to suspend services for accounts with overdue balances. All fees are stated in United States Dollars and do not include applicable taxes, which are the responsibility of the client unless a valid tax exemption certificate is provided.
6. Limitation of Liability
To the maximum extent permitted by applicable law, GBN Services LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses resulting from your access to or inability to access our services, any conduct or content of any third party on or related to our services, unauthorized access to or alteration of your transmissions or content, or any other matter relating to our services. In no event shall the total aggregate liability of GBN Services LLC exceed the amount paid by you to us during the twelve (12) months preceding the claim.
Disclaimer of Warranties: Our services are provided on an AS IS and AS AVAILABLE basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
7. Indemnification
You agree to indemnify, defend, and hold harmless GBN Services LLC, its members, officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys fees) arising from or related to your use of our services, your violation of these terms, your violation of any applicable law or regulation, or your infringement of any intellectual property or other rights of any person or entity.
8. Termination
Either party may terminate services in accordance with the notice provisions specified in the applicable service agreement. GBN Services LLC may suspend or terminate access to services immediately if you breach these terms, fail to make required payments, engage in activities that may cause legal liability for us or our clients, or use our services in a manner inconsistent with their intended purpose. Upon termination, all rights and obligations cease except for those that by their nature should survive termination, including intellectual property provisions, limitation of liability, and indemnification obligations.
9. Governing Law and Jurisdiction
These Terms of Service shall be governed by and construed in accordance with the laws of the State of Utah, United States of America, without regard to its conflict of law provisions. Any legal action or proceeding arising under these terms shall be brought exclusively in the federal or state courts located in Salt Lake County, Utah, and you consent to the personal jurisdiction and venue of such courts. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.
10. Dispute Resolution
Prior to initiating any formal legal proceedings, the parties agree to first attempt to resolve any dispute through good-faith negotiation for a period of at least thirty (30) days. If negotiation fails, the parties may pursue binding arbitration in Salt Lake City, Utah, in accordance with the rules of the American Arbitration Association. The arbitrator decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
11. General Provisions
If any provision of these terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect. The failure of GBN Services LLC to enforce any right or provision of these terms shall not constitute a waiver of such right or provision. These terms, together with any service agreements and our Privacy Policy, constitute the entire agreement between you and GBN Services LLC regarding the use of our services, superseding any prior agreements between us.
